Annexure I

This Agreement provides all Clients of Trade Achievers Training Academy Pvt. Ltd. comprehensive understanding of the nature, scope, and limitations of services offered, along with the responsibilities and potential risks involved in its educational programs and Trading Floor facilities. The Academy operates exclusively as an educational and training institution specializing in financial markets. It does not provide brokerage, investment advisory, portfolio management, or any form of financial recommendation services. By enrolling, Clients expressly acknowledge that the primary objective is to impart knowledge, skills, and practical understanding of market operations for educational purposes only. All programs, materials, trading strategies, demonstrations, and related content are intended solely for instructional and illustrative purposes and must not be construed as personalized investment advice or recommendations. Clients acknowledge that trading and investment carry inherent risks, including market volatility, leverage-related exposures, technological failures, and the potential for complete capital loss. Clients must exercise independent judgment and discretion when applying any knowledge learned and bear full responsibility for their own trading decisions, actions, and outcomes. Clients expressly release the Academy from any liability for financial gains, losses, or other consequences resulting from the application of knowledge or strategies acquired. By entering this Agreement, Clients commit to strict adherence to all Academy policies, respect for intellectual property, and the maintenance of decorum, professionalism, and ethical standards.

Annexure II

Clients of the Academy are expected to maintain the highest standards of professionalism and integrity at all times. Any behaviour that undermines the discipline or ethical standards of the learning environment is strictly prohibited. This includes promoting outside products or services, as such actions can create conflicts of interest and distract from the educational objectives. Additionally, clients are forbidden from providing any form of financial advice or trading tips to fellow participants or others. Exchanging personal contact information to create unofficial groups is also disallowed to ensure all communication remains within the Academy’s official channels. The recording or capturing of any training session, whether in-person or online, is strictly prohibited. All learning materials, including presentations, notes, videos, and strategies, are the exclusive intellectual property of the Academy and cannot be reproduced, shared, or distributed without prior written consent. Clients must also refrain from using pirated or unauthorized software in connection with any program. Any harassment, abusive language, or misconduct towards staff, trainers, or other participants is considered a serious breach of the Code of Conduct. The Academy reserves the right to impose immediate disciplinary measures, including suspension or permanent expulsion without a refund, for any violation of these rules. These policies are in place to protect the Academy’s reputation and intellectual property while ensuring a safe, professional, and productive learning environment for all participants.

Annexure III

Clients are solely responsible for the safety and security of their personal belongings while present on the Academy’s premises or participating in any of its activities, as the Academy shall not be held liable for theft, loss, or damage of personal items under any circumstances. All clients are expected to respect and maintain the cleanliness, order, and integrity of Academy facilities, classrooms, equipment, and common areas, and any damage caused to Academy property—whether intentional, negligent, or accidental—shall be repaired or replaced entirely at the client’s expense. The use of Academy-owned property, including systems, devices, networks, and software, is strictly limited to approved educational purposes, and any unauthorized use, tampering, installation of unapproved applications, or exploitation of such resources for personal, commercial, or unrelated activities is expressly prohibited. Any violation of these provisions shall be treated as a serious breach of conduct and may result in disciplinary action, including warnings, suspension, permanent termination of enrolment, denial of future access to facilities, and, where necessary, legal proceedings to recover damages or address misconduct, thereby ensuring a safe, professional, and secure learning environment for all clients.

Annexure IV

Clients seeking access to the Trading Floor of Trade Achievers Training Academy Pvt. Ltd. are strictly required to maintain an active and valid trading account opened through Trade Achievers, which must have been duly opened and linked directly through the Academy. As a mandatory condition of such access, clients shall ensure that a minimum account balance, as stipulated by the Academy, is maintained at all times, and failure to uphold this requirement shall constitute a material breach of the Academy’s Trading Floor policy. This minimum balance requirement is imposed to ensure preparedness, seriousness of participation, and the appropriate utilization of the Academy’s facilities and resources. In addition, any account that remains inactive, dormant, or unused for a continuous period of ten (10) trading days shall result in the immediate and automatic revocation of Trading Floor privileges, without any obligation on the Academy’s part to provide prior notice, compensation, or refund of fees. Reinstatement of access in such cases shall not be a matter of right and may only be considered at the sole and absolute discretion of the Academy, subject to such conditions, verifications, or additional requirements as the Academy may determine appropriate. This policy has been designed and implemented to preserve a professional, efficient, and resource-focused trading environment, ensuring that the Academy’s infrastructure and facilities are reserved exclusively for clients who are consistently active, engaged, and committed. Non-compliance with the aforesaid requirements, including but not limited to failure to maintain the prescribed minimum balance, prolonged inactivity, or breach of account obligations, may lead to temporary suspension, permanent termination of Trading Floor privileges, or denial of future access, without prejudice to the Academy’s right to take any further action it deems necessary. By enrolling and seeking Trading Floor access, clients expressly acknowledge, understand, and agree that adherence to these conditions is a mandatory, binding, and non-negotiable prerequisite for obtaining and continuing participation in the Academy’s Trading Floor facilities. The Trading Floor shall operate from 9:15 AM. to 5:30 PM., Monday to Friday, and will remain closed on all market holidays. Clients are also required to mark their attendance on a daily basis for verification purposes.

Annexure V

All intellectual property belonging to Trade Achievers Training Academy Pvt. Ltd., including but not limited to its trade name, brand identity, logo, trademarks, service marks, course materials, study guides, handouts, workbooks, digital content, presentations, video and audio recordings, research findings, trading strategies, models, frameworks, designs, layouts, software, applications, systems, online platforms, and any other proprietary content, information, or resources, whether tangible or intangible, published or unpublished, shall at all times remain the sole, exclusive, and absolute property of the Academy, protected under applicable intellectual property, copyright, trademark, and related laws. Clients acknowledge and agree that they are granted only a limited, personal, non-transferable, and non-exclusive right of access to use such content strictly for their own educational purposes during the tenure of their enrolment, and no ownership rights, licenses, or interests are conferred upon them. Clients are expressly prohibited, without the Academy’s prior written consent, from reproducing, copying, modifying, translating, adapting, sharing, publishing, uploading, distributing, displaying, reselling, sublicensing, creating derivative works, or otherwise exploiting such intellectual property in whole or in part, whether directly or indirectly, for personal, academic, professional, commercial, or any other purpose. Any unauthorized use, misappropriation, alteration, reproduction, dissemination, or misrepresentation of the Academy’s intellectual property or branding, whether intentional or negligent, in physical or digital form, including but not limited to social media platforms, public forums, third-party websites, or promotional channels, shall constitute a material breach of this agreement and a violation of applicable laws, entitling the Academy, at its sole discretion, to take immediate remedial action including suspension or permanent termination of the client’s enrolment, withdrawal of access to all programs, resources, and facilities, issuance of cease-and-desist notices, initiation of legal proceedings, and pursuit of claims for monetary damages, injunctive relief, and compensation to the fullest extent permitted by law. Clients further acknowledge, confirm, and undertake that all Academy content, resources, and branding are confidential and proprietary, and they agree to preserve the integrity of such rights by refraining from any act or omission that may directly or indirectly compromise, dilute, or infringe upon the Academy’s intellectual property, thereby ensuring its continued protection across all forms, mediums, and jurisdictions.

Annexure VI

Fund management in any form is strictly and absolutely prohibited both within the premises of Trade Achievers Training Academy Pvt. Ltd. and outside its premises, whether conducted physically, digitally, directly, or indirectly, and whether under the Academy’s name or otherwise. No person, including but not limited to staff members, trainers, faculty, associates, representatives, or clients, is authorized or permitted to solicit, collect, manage, pool, handle, invest, or trade funds on behalf of another individual, group, or entity under the banner, brand, or association of the Academy. Likewise, no individual shall provide, claim to provide, or imply the provision of financial management, portfolio management, investment services, or trading advice on behalf of the Academy. Clients are strongly cautioned not to respond to, engage with, or entertain any such offers, solicitations, or proposals from any source, whether internal or external, as such activities are strictly outside the scope of the Academy’s authorized operations. Any approach, communication, or attempt related to fund management, whether received from a staff member, trainer, client, or third party in connection with the Academy, must be reported immediately to the Academy’s management. The Academy expressly disclaims and denies any liability, responsibility, or obligation for financial losses, damages, disputes, or claims arising out of or in connection with unauthorized fund management, and all such activities shall be deemed personal dealings for which the Academy bears no accountability. This policy has been instituted to safeguard the interests of all clients, preserve the Academy’s professional and ethical standards, and ensure a transparent, compliant, and secure educational environment. Any violation of this prohibition, whether proven or reasonably suspected, shall constitute a serious breach of policy and may result in immediate and strict disciplinary action, including suspension or permanent expulsion from the Academy, withdrawal of access to all its programs, services, and resources, and where appropriate, referral to regulatory or legal authorities for investigation and prosecution.

Annexure VII

Access to the facilities, resources, and services of Trade Achievers Training Academy Pvt. Ltd. is strictly reserved for clients who have completed the registration process and are duly authorized to participate in the Academy’s programs. This exclusivity ensures that the learning and trading environment remains secure, professional, and conducive to focused education and skill development. The Academy’s official operating hours are from Monday to Saturday, 9:00 AM to 6:30 PM, aligning with active market timings to facilitate practical training, live demonstrations, and hands-on trading exercises. The Academy remains closed on all market holidays, in accordance with the schedules of NSE, BSE, MCX, and other relevant exchanges, during which no official sessions, support services, or access to physical or virtual facilities will be available. The Academy expressly reserves the right, at its sole and absolute discretion, to suspend, restrict, or terminate access to its facilities, programs, or resources for any client, without prior notice or explanation, if such action is deemed necessary to:

  • Enforce compliance with Academy policies, rules, and the Code of Conduct;
  • Maintain discipline and order within both physical and online learning environments;
  • Safeguard the integrity and security of the Academy’s operations and resources;
  • Protect the interests, safety, and rights of other clients or participants.

Clients acknowledge and agree that such decisions are final and non-contestable, and the Academy shall not be held liable for any inconvenience, loss, or consequence arising directly or indirectly from the suspension, restriction, or termination of access. Clients are responsible for staying informed of schedules, announcements, and any changes communicated through official channels to ensure uninterrupted participation in Academy programs.

Annexure VIII

Trading in financial markets inherently involves significant and unavoidable risks. These risks include, but are not limited to, market volatility, leverage-related exposures, liquidity constraints, rapid price fluctuations, technological or system failures, connectivity disruptions, and in extreme circumstances, the potential for a total loss of invested capital. Clients are explicitly informed and acknowledge that any past performance, illustrative strategies, case studies, examples, or demonstrations shared during Academy sessions are provided solely for educational purposes. Such material does not, and shall not, be interpreted as a promise, guarantee, or assurance of future profits, gains, or trading success under any circumstances. All trading decisions, investment actions, and financial outcomes remain the exclusive responsibility of the client. Clients are expected to exercise independent judgment, critical analysis, and robust risk management practices before executing any trade or implementing any strategy. The Academy does not provide personalized investment advice, portfolio management, or any form of financial recommendation, and shall not be held liable for any losses, damages, or adverse results arising from trading activities, including but not limited to:

  • Decisions made independently by clients;
  • Disruptions due to internet or connectivity failures;
  • Technical issues with trading platforms or brokerage services;
  • Market conditions beyond.

This policy is intended to reinforce that participation in financial markets is inherently speculative and involves substantial risk. Clients acknowledge and agree that they engage in trading activities with full awareness, informed consent, and personal accountability, and that the Academy’s role is strictly limited to education and training. By enrolling in the Academy’s programs, clients expressly accept these risks and release the Academy from any liability related to their trading outcomes, financial decisions, or market participation.

Annexure IX

Trade Achievers Training Academy Pvt. Ltd. makes no representations, warranties, assurances, or guarantees—whether express or implied—regarding the achievement of profits, returns, gains, or financial success arising from any trading, investment, or market activities undertaken by clients following participation in Academy programs. Any past performance, illustrative examples, case studies, strategies, or demonstrations provided during classes, workshops, training materials, or other sessions are presented solely for educational, illustrative, or explanatory purposes and must not be interpreted as a promise, assurance, or guarantee of future results. Clients expressly acknowledge and agree that all trading, investment, and financial decisions are made at their sole discretion, judgment, and risk, and that the Academy shall not be liable or responsible for any losses, damages, or adverse outcomes resulting from such decisions, including, without limitation, losses arising from market volatility, leverage, technological failures, or other market-related risks. Clients further acknowledge and accept that participation in Academy programs does not constitute financial advice, personalized investment recommendations, or any form of advisory service, and that they bear full and sole responsibility for their trading outcomes, financial decisions, and associated risks. Clients also agree that they will exercise independent judgment, perform their own due diligence, and seek professional advice if necessary before making any trading or investment decisions.

Annexure X

Clients of Trade Achievers Training Academy Pvt. Ltd. are required to strictly comply with all rules, regulations, and guidelines issued by regulatory authorities, including but not limited to the Securities and Exchange Board of India (SEBI), National Stock Exchange (NSE), Bombay Stock Exchange (BSE), Multi Commodity Exchange (MCX), Reserve Bank of India (RBI), and any other applicable governing bodies. Any person shall not own, hold, possess, transfer, or transact in foreign exchange investments except where expressly permitted by the RBI after adhering to all applicable central bank norms; any violation may invite legal penalties or such action as deemed necessary by the regulator or judiciary. Participation in insider trading, fraudulent activities, market manipulation, or other unethical, illegal, or prohibited practices is strictly forbidden and will result in the immediate suspension or termination of the client’s access to all Academy programs, facilities, and services. Clients acknowledge that engagement in any such prohibited conduct may also subject them to civil, criminal, or regulatory action under applicable laws, and the Academy disclaims any responsibility for consequences arising from violations of regulatory or legal requirements. Clients are further expected to observe prescribed position limits, maintain required margins, and execute all trading activities with the highest standards of integrity, transparency, and professional ethics. These obligations are established to promote a fair, compliant, and secure trading environment, ensure adherence to statutory and regulatory requirements, and protect the interests of all participants. By enrolling with the Academy, clients agree to uphold these standards at all times and acknowledge that failure to comply may result in disciplinary measures, including permanent termination of access, without refund.

Annexure XI

Clients are solely responsible for evaluating and ensuring their physical, mental, and emotional readiness before enrolling in or participating in any program, session, or activity conducted by the Academy. The Academy does not provide medical advice, health assessments, or diagnostic services, and assumes no responsibility for determining a participant’s suitability or capacity to attend, engage in, or continue with any program. Participants are strongly advised to consult qualified healthcare professionals, if necessary, to confirm their ability to undertake training activities that may involve prolonged screen exposure, intellectual exertion, decision-making under dynamic market conditions, or psychological stress. Clients with pre-existing medical conditions, physical limitations, or mental health concerns must independently manage their wellbeing, including arranging for rest, medication, therapy, or other interventions as required. The Academy expressly disclaims any liability for injury, illness, discomfort, or adverse health effects arising directly or indirectly from participation in its programs. By enrolling, clients acknowledge, accept, and assume full personal responsibility for their physical and mental health, agree to take reasonable measures to safeguard themselves, and confirm that their participation is voluntary and undertaken entirely at their own discretion.

Annexure XII

The Academy maintains a structured, transparent, and clearly defined fee system for all programs, the details of which shall be communicated to clients prior to enrolment. Clients are required to remit all fees strictly in accordance with the prescribed timelines, approved modes of payment, and instructions issued by the Academy. No part or split payments shall be allowed under any circumstances. Clients must also ensure the accuracy of all payment details, including reference numbers or transaction identifiers, to facilitate proper identification, verification, and reconciliation. All fees mentioned are inclusive of all applicable taxes levied by the Central and State Governments. The Academy follows all tax laws laid down by the Central and State Governments. Upon receipt and confirmation of payments, the Academy shall issue valid invoices or receipts, which clients are required to retain for record-keeping and future reference. In cases of delayed, incomplete, or erroneous payments, the Academy may suspend access to programs or withhold participation until such payment deficiencies are rectified to the Academy’s satisfaction. The Academy further reserves the right to revise or amend its fee schedule from time to time; however, any such revisions shall apply prospectively and shall not affect obligations already undertaken by clients. All fees paid are strictly non-refundable, and no requests for refund, transfer, or adjustment shall be entertained under any circumstances. By enrolling in any program, clients expressly acknowledge, accept, and agree to comply with the Academy’s prescribed fee structure, payment terms, and all associated conditions, thereby forming a binding and irrevocable financial commitment to the program. Clients also acknowledge that failure to adhere to these terms may result in suspension or denial of access to Academy programs, resources, or services until compliance is achieved.

Annexure XIII

All fees, payments, and charges remitted to Trade Achievers Training Academy Pvt. Ltd. are strictly non-refundable, non-adjustable, and non-transferable under any circumstances whatsoever. Once payment is made, it shall be deemed a final, binding, and irrevocable commitment to the selected program or service, and no portion of such payment shall be eligible for refund, credit, substitution, or transfer to another individual, program, or batch. This policy shall apply without limitation to situations involving withdrawal of enrolment, cancellation or postponement of participation, dissatisfaction with program content, teaching methodology, delivery style, or results, failure to attend or complete scheduled classes, inability to continue due to personal, financial, health, employment, or family circumstances, technical issues such as internet failures, device malfunctions, or power outages, and any external disruptions including natural calamities, strikes, government restrictions, or other events beyond the reasonable control of the Academy. Clients expressly acknowledge and agree that the Academy bears no liability or obligation to provide any refund, reimbursement, adjustment, or extension under any circumstances, and further agree that all payments made constitute a voluntary and irrevocable acceptance of this non-refund and non-transfer policy as a mandatory condition of enrolment. Clients also understand that substitution of participants or transfer of fees to another person, program, or service is strictly prohibited. By enrolling, clients confirm that they have read, understood, and agreed to these terms, and accept that any attempt to dispute, reverse, or charge back payments may result in suspension, denial of access to Academy services, or legal recourse to recover dues, thereby making full compliance with this policy an essential and non-negotiable condition for participation in all programs, sessions, and activities offered by the Academy.

Annexure XIV

Clients of Trade Achievers Training Academy Pvt. Ltd. are solely responsible for arranging and maintaining stable internet connectivity and ensuring that all personal devices—laptops, desktops, tablets, or mobiles—are in proper working condition, securely maintained, and adequately protected. The Academy shall not be liable for any connectivity failures, device malfunctions, or related issues causing missed sessions, learning disruption, or data loss. Clients are strictly prohibited from engaging in any activity that compromises the security, integrity, or functionality of the Academy’s digital platforms, systems, or networks. Prohibited activities include unauthorized access, hacking, cyber fraud, tampering with online content, spamming, manipulating system operations, or interfering with Academy infrastructure. Any violation of these rules constitutes a serious breach of Academy policies and may result in immediate suspension, permanent termination, restriction from future programs, and legal proceedings as permitted under applicable law. This policy ensures a secure and reliable learning environment, safeguarding the Academy’s proprietary systems, confidential data, and online resources. By participating in any program, clients acknowledge and agree that adherence to these standards is mandatory for continued access to Academy services.     

Annexure XV

Any disputes, claims, or controversies arising out of, relating to, or in connection with this Agreement—including, without limitation, disputes concerning its interpretation, execution, performance, enforcement, or alleged breach—shall be governed exclusively by and construed in accordance with the laws of India. The parties expressly agree that the courts located in Chennai shall have sole and exclusive jurisdiction to adjudicate any such matters, and no other courts, tribunals, or forums shall be deemed competent to entertain, try, or decide any dispute arising under this Agreement. Clients further acknowledge and agree that, prior to initiating any formal legal proceedings, they are required to make reasonable and good-faith efforts to resolve disputes amicably through direct discussion or mediation with the Academy. These preliminary efforts are intended to minimize conflict, preserve professional relationships, and provide both parties with an opportunity to reach mutually acceptable solutions without resorting to litigation. Only after such good-faith attempts have been duly undertaken and proven unsuccessful may the client pursue formal legal action, strictly in accordance with the governing law and jurisdiction specified herein. This provision ensures clarity, predictability, and efficiency in dispute resolution while emphasizing the Academy’s preference for amicable negotiation, mediation, and collaborative problem-solving before engaging in formal legal proceedings.

Annexure XVI

Clients acknowledge, understand, and expressly agree that Trade Achievers Training Academy Pvt. Ltd. does not provide, issue, or guarantee any certificates, diplomas, degrees, or formal recognition of course completion for participation in its programs. Engagement in the Academy’s educational sessions—including, without limitation, workshops, webinars, live market exercises, and training modules—is intended solely for educational enrichment, practical skill development, and enhancement of knowledge in the domain of financial markets and trading. Participation in Academy programs does not confer any official accreditation, professional certification, regulatory qualification, or legal authorization to operate as a trader, financial advisor, or investment professional. Clients are fully responsible for applying the knowledge, skills, and strategies acquired during training independently, exercising their own judgment, and ensuring compliance with all applicable laws, regulations, and market practices. Clients shall not represent, imply, or claim that participation in Academy programs constitutes proof of certification, formal competence, or professional qualification in any jurisdiction. This policy is intended to maintain clarity and transparency regarding the scope, limitations, and purpose of the Academy’s educational offerings, emphasizing the focus on practical learning, personal development, and informed trading practice, rather than formal credentialing or professional certification.

Annexure XVII

The Academy shall not be held liable for any interruptions, delays, cancellations, or modifications to its classes, review sessions, training programs, or live market activities caused by factors beyond its reasonable control, including, but not limited to, internet connectivity failures, power outages, third-party software or platform malfunctions, server downtime, natural calamities, government-imposed restrictions, strikes, or other force majeure events. While the Academy strives to provide uninterrupted learning and trading support, it cannot guarantee absolute continuity under such circumstances, and any financial loss, missed opportunities, or inconvenience arising from these disruptions shall remain the sole responsibility of the client. Clients are strongly advised to ensure reliable internet and power backup systems, maintain and regularly update their devices and software, and stay informed through official Academy communication channels regarding any rescheduling, alternative arrangements, or updates necessitated by such disruptions. By participating in Academy programs, clients expressly acknowledge and accept that these measures are necessary to minimize the impact of external disruptions and that the Academy bears no liability for events beyond its reasonable control.

Annexure XVIII

The Academy shall not be held responsible or liable for any delay, interruption, modification, or cancellation of its classes, review sessions, training programs, or related activities arising from circumstances beyond its reasonable control. Such circumstances include, but are not limited to, natural disasters (such as floods, earthquakes, cyclones, or fire), government actions or restrictions, strikes, lockouts, labour disputes, pandemics, epidemics, civil unrest, war, terrorism, acts of God, or any other unforeseen events that prevent the Academy from fulfilling its obligations in a timely or regular manner. These events shall not constitute a breach of agreement, and under no circumstances shall clients be entitled to claim damages, refunds, compensation, or any other form of redress for losses, inconvenience, or missed opportunities resulting from such disruptions. In such cases, the Academy reserves the right, at its sole discretion, to reschedule, restructure, or adapt the affected sessions or programs to alternative formats, including but not limited to online delivery, postponement, or other reasonable adjustments, in order to minimize disruption and maintain continuity of the learning experience wherever feasible.

Annexure XIX

Clients acknowledge and agree that their actions, behaviour, and conduct outside the premises of Trade Achievers Training Academy Pvt. Ltd. have a direct impact on the reputation, integrity, and operational effectiveness of the Academy. Clients are strictly prohibited from using, exploiting, or representing the Academy’s name, logo, brand identity, staff, or client network for any personal, commercial, promotional, or unauthorized purposes beyond the scope of officially sanctioned Academy activities. This prohibition explicitly includes, but is not limited to, creating unauthorized or parallel groups, sharing or circulating trading tips, calls, strategies, or levels, misrepresenting one’s affiliation with the Academy, or engaging in any activity that could imply endorsement or association with the Academy. Clients must ensure that all external conduct aligns with the professional and ethical standards established by the Academy. Any breach of this policy shall constitute a serious violation of client obligations and may result in immediate suspension, termination of enrolment, revocation of access, and exclusion from all Academy programs and resources, without refund of fees. In addition, such violations may expose the client to legal action under applicable laws, including but not limited to claims of misrepresentation, intellectual property infringement, defamation, or other remedies available under law. This policy is enforced to safeguard the Academy’s brand identity, intellectual property, and community integrity, ensuring that all educational and trading activities remain secure, professional, and conducted strictly within the authorized framework established by the Academy. Clients expressly acknowledge and accept their responsibility to comply with these obligations at all times, whether on or off the Academy premises.

Annexure XX

Under no circumstances shall Trade Achievers Training Academy Pvt. Ltd. be held liable for any losses, damages, claims, or expenses arising directly or indirectly from a client’s participation in its programs, use of its facilities, or application of knowledge, strategies, or techniques gained through Academy training. Clients expressly acknowledge and agree that the Academy operates solely as an educational and training institution, and any trading or financial decisions made by clients remain entirely their own responsibility. In no event shall the Academy be liable for consequential, incidental, special, punitive, or indirect damages, including but not limited to loss of profits, trading losses, opportunity costs, or other financial or non-financial losses arising from participation in Academy programs or reliance on its content, demonstrations, or guidance. This limitation applies regardless of the legal basis of any claim, including claims grounded in contract, tort, negligence, misrepresentation, or otherwise. It is intended to provide clients with clarity, transparency, and fair expectations regarding the scope of the Academy’s obligations and liabilities. Clients acknowledge and accept these limitations as a condition of participation in all Academy programs and activities.

Annexure XXI

The Academy expressly reserves the unilateral right to update, revise, amend, or modify these Terms and Conditions, operational policies, program guidelines, or any other directives governing client participation at any time, without prior notice. Such updates may include, but are not limited to, changes in program structure, scheduling, fee policies, access rules, code of conduct, or operational procedures. Any new rules and regulations imposed by the Academy will be duly informed to the client, and the client is expected to follow and comply with the same. It is the sole responsibility of each client to remain fully informed regarding the latest rules, policies, and operational guidelines issued by the Academy, and to ensure strict compliance with such updates. Clients acknowledge that ongoing adherence to all Academy policies—whether previously communicated or newly issued—is mandatory. These guidelines are established to maintain discipline, fairness, security, and a professional learning environment for all participants, safeguarding both individual and collective interests. Any failure or refusal to comply with the Academy’s updated Terms, ethical standards, or operational directives may result in immediate disciplinary action, including but not limited to expulsion, suspension, or termination of access and services, at the Academy’s sole discretion. Clients expressly agree that no entitlement to refund, compensation, or claims of damages shall arise from such enforcement actions. This policy ensures that the Academy can continue to provide a structured, secure, and professional environment, protect its operational integrity, and maintain the quality, fairness, and effectiveness of its educational programs for all enrolled clients.

Annexure XXII

I, the undersigned Client, hereby acknowledge, declare, and confirm that I have carefully read, thoroughly reviewed, and fully understood all Terms and Conditions, Code of Conduct, Risk Disclosures, operational policies, and guidelines of Trade Achievers Training Academy Pvt. Ltd. I affirm that I have had the opportunity to seek clarification on any provisions or aspects that I did not understand and that I voluntarily accept and agree to comply with all rules, policies, and directives issued by the Academy during my participation in any program, training session, workshop, or while using the Academy’s facilities and resources. I accept complete and sole responsibility for my conduct, behaviour, active participation, engagement in training sessions, learning outcomes, trading decisions, and the security of my personal belongings while interacting with or utilizing the services, facilities, and resources of the Academy.

I fully understand and agree that any breach, violation, or non-compliance with the Academy’s rules, ethical standards, operational policies, or professional guidelines may result in disciplinary action, including but not limited to suspension, restriction, or permanent termination of my access or participation, at the sole discretion of the Academy, without prior notice and without any entitlement to a refund or compensation. Furthermore, I expressly release, waive, and hold harmless the Academy, its directors, officers, employees, trainers, affiliates, agents, and representatives from any and all liability, claims, demands, losses, damages, costs, or expenses—whether direct, indirect, incidental, consequential, or otherwise—that may arise, directly or indirectly, from my participation in Academy programs, use of facilities, application of educational materials, trading decisions, or any other activities related to or arising out of my engagement with the Academy.

I acknowledge and accept that trading in financial markets involves inherent risks, including the possibility of financial loss, market volatility, system failures, or other adverse outcomes. I confirm that I am fully aware of these risks and voluntarily choose to participate with complete understanding, personal accountability, and responsibility. By signing this declaration, I affirm that I enter into this Agreement of my own free will, with full comprehension of its terms, and with an explicit understanding that I assume all associated responsibilities, risks, and consequences.
